Account & Prep Fees:
Account and Prep Fees will be assessed between the 1st and 5th of each month for the most recent previous calendar month. Client is responsible for paying all shipping charges, either through their Seller Central account or direct charges incurred by Hawkeye Prep for shipments including but not limited to returns, hazmat shipments, or other shipments requested by the client.
Minimums & Billing:
Clients will be invoiced the total units prepped plus any additional fees once per month. We will keep your credit card on file and automatically run the payments each cycle. If the client does not want to be automatically billed, we will need to be notified.
Exceptions to billing policies can be made per client and Hawkeye Prep’s agreement at any time.
Invoices will have a 7 day grace period to be paid if not automatically charged. If you surpass the 7 days, Hawkeye Prep will not prep your shipments until your invoices are caught up.
Invoices over 30-days past due will accrue late payment fee of 4% per month. Hawkeye Prep shall have a lien on the Goods tendered by Client and upon any and all property belonging to Client in Hawkeye Prep’s possession, custody or control for all charges, advances or amounts of any kind due to Hawkeye Prep under this Warehouse Receipt or under any prior or subsequent invoices issued to Client by Hawkeye Prep (including charges for prep, processing, storage, handling, shipping, transportation, labor, and any other charges incurred).
Hawkeye Prep shall have a lien on the Goods and may refuse to surrender possession of the Goods until all charges or debts are paid in full. If such amounts remain unpaid for 30 days after Hawkeye Prep demand for payment, Hawkeye Prep may sell the Goods at public auction or private sale or in any other manner reasonable, and shall apply the proceeds of such sale to the amounts owed. Client remains responsible for any deficiency outstanding to Hawkeye Prep.
Pallets:
Hawkeye Prep accepts palletized shipments. Hawkeye Prep must be notified in advance for all pallet shipments
Storage:
Hawkeye Prep does not charge storage fees while we are processing and prepping items. If an item cannot be processed or needs to be stored at the request of the client, a storage fee of $0.50 per unit per month.
Disposal of Product:
Hawkeye Prep will dispose of any product per the Client’s request for no additional charge. Once the disposal request is submitted, the product becomes the property of Hawkeye Prep and may be disposed of at Hawkeye Prep’s discretion.
Processing Time:
Hawkeye Prep’s processing time varies depending on a number of factors but our goal is to do one shipment per week or more depending on the client’s inventory in our warehouse. Longer processing times are possible between May and July and between September and December.
Hawkeye Prep is closed on New Year’s Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day, and Christmas Day. Hawkeye Prep may also be closed or only open for limited hours on Christmas Eve and/or New Year’s Eve.
Liability:
Hawkeye Prep’s duty of care shall be that of a reasonably careful person under like circumstances and Hawkeye Prep shall not be liable for any loss, damage or injury to goods stored however caused unless such loss, damage or injury resulted from the failure by Hawkeye Prep to exercise such reasonable care, and Hawkeye Prep is not liable for losses, damages or injuries which could not have been avoided by the exercise of such care. Hawkeye Prep and the Client agree that Hawkeye Prep’s duty of care referred to herein shall not extend to providing a sprinkler system at the warehouse complex or any portion thereof. In no event shall Hawkeye Prep be liable for any loss or damage caused by: a) acts of God; public authorities acting with actual or apparent authority; strikes; labor disputes; weather; mechanical or equipment failures; cyber attacks; civil commotions; hazards incident to a state of war; acts of terrorism; acts or omissions of customs or quarantine officials; acts of carriers related to security; the nature of the freight or any defects thereof; inherent vice of the goods; perishable qualities of the merchandise; fires; frost or change of weather; sprinkler leakage; floods; wind; storm; moths; public enemies; or other causes beyond its control; b) fragile articles injured or broken, unless packed by Hawkeye Prep employees and unpacked by them at the time of delivery; c) pilferage or theft unless such loss or damage is caused by the failure of Hawkeye Prep to exercise such ordinary care required by law; and d) concealed damage, or for losses incurred due to the concealed damage of the Goods.
Unless specifically agreed to in writing, Hawkeye Prep shall not be responsible for storage of the Goods in a temperature or humidity controlled environment. Client knowingly accepts that the Goods will be warehoused in a non-temperature/humidity controlled environment. Hawkeye Prep will not be responsible for any loss or damage to the Goods that result from fluctuations in temperature range or in humidity levels of the warehouse. Hawkeye Prep will furthermore not be responsible for losses or damages incurred to Perishable Goods, unless otherwise agreed to in writing prior to tender of the Goods for storage.
In the event of loss or damage to the Goods for which Hawkeye Prep is legally liable, Hawkeye Prep’s liability shall be limited to cost of the Goods paid by Client at time of purchase. Hawkeye Prep will not be liable for any shipment level, box level, or product level errors as indicated by Amazon unless the error resulted from the failure by Hawkeye Prep to exercise such reasonable care when processing said products. If it can be determined that Hawkeye Prep’s failure to exercise care caused the error, Hawkeye Prep will reimburse the Client for any charges or fines imposed by Amazon including removal charges. In the event of loss of Goods for which Hawkeye Prep is legally liable, Hawkeye Prep’s liability shall be limited to the cost of Goods paid by Client at time of purchase.
IN NO EVENT, WHETHER AS A RESULT OF BREACH OF COMPANY’S DUTIES, NEGLIGENCE LIABILITY WITHOUT FAULT OR ANY OTHER LEGAL THEORY OR
BASIS, SHALL COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, STATUTORY OR PUNITIVE DAMAGES, INCLUDING BUT NOT
LIMITED TO, LOSS OF PROFITS OR LOSS OF MARKET, LOSS OF INCOME, DAMAGES ARISING FROM LOSS, ATTORNEYS FEES OR PUNITIVE DAMAGES,
WRONG DELIVERY, OR DAMAGE TO PROPERTY, LOSS OF USE OF GOODS, COST OF SUBSTITUTED GOODS, DELAYED DELIVERY OR FAILURE TO ATTEMPT
DELIVERY, WHETHER OR NOT COMPANY HAD KNOWLEDGE THAT SUCH DAMAGES OR LOSSES MIGHT OCCUR.
Damaged Goods:
If a product is damaged upon receipt, Hawkeye Prep will document the state of the goods at the time of receipt and notify the Client immediately via email. The Client must notify Hawkeye Prep within 7 business days what further action is necessary(product return, ship to Client, storage, or disposal).
The Client will be responsible to contact the retailer to return or replace the item(s). A labor charge will be assessed.
Unprocessable Items:
Items that we are unable to ship to Amazon, including products received damaged, incorrectly fulfilled by retailer, without an Amazon listing, under hazmat review, unauthorized to be sold by Client, or any other reason, is considered Unprocessable and must be rectified by the Client within 30 days. Storage fees and additional labor fees will be assessed as appropriate. Client may choose to have the items shipped to them or other location at the Client’s expense. Any items remaining in our possession after the 30-day window will become our property and we will dispose of them as appropriate.
Products received by Hawkeye Prep that are not listed on the Client’s Prep Sheet will be considered Unprocessable until the missing information is added to the Prep Sheet. Because additional labor is involved when processing products that are not listed on the Prep Sheet, an additional fee of $0.50 per product will be assessed when we are unable to locate the product on the sheet.
User Permissions Required:
Clients are required to have Inventory Lab and Listing Access is required in InventoryLab. For Seller Central, Manage FBA Inventory/Shipments access is required through Sub Account access.
